The price for Graham Corporation’s (the “Company”) common stock, $0.10 par value per share (“Common Stock”) being registered hereby is based on a price of $7.30 per share of Common Stock, which is the average of the high ($7.59) and low ($7.00) trading prices for a share of Common Stock on August 2, 2022, as reported on the New York Stock Exchange.

Reflects 200,000 additional shares of Common Stock issuable under the Graham Corporation Employee Stock Purchase Plan, as amended (the “Plan”), as a result of an increase approved by the stockholders of the Company at its 2022 Annual Meeting of Stockholders on July 27, 2022. The Additional Shares are in addition to the shares of Common Stock previously registered for issuance under the Plan pursuant to the Company’s Registration Statement on Form S-8 (File No. 333-169015) filed with the Securities and Exchange Commission on August 24, 2010.

Pursuant to Rule 416(a) of the Securities Act, this Registration Statement also covers any additional shares of Common Stock that become issuable under the Plan by reason of any stock dividend, stock split, recapitalization or any other similar transaction effected without the receipt of consideration that results in an increase in the number of outstanding shares of Common Stock.
